Tribal LLCs and offshore trusts are sold with the same language. What tribal sovereign immunity actually covers, and why an offshore trust works differently.

If you've spent any time researching asset protection, you've probably run into both of these. They get marketed with similar language - sovereignty, jurisdiction, creditors can't touch it - but they're not comparable products. One has a litigated track record. The other mostly has a sales page.

The Tribal LLC Pitch

Form an LLC under a federally recognized tribe's business code instead of a state's. The claim is that tribal sovereignty puts the entity beyond the reach of state courts, so judgments can't be enforced against it.

The problem is that sovereign immunity belongs to the tribe, not to anyone who files paperwork with it. Courts extend it to entities that function as arms of the tribe: tribally owned, tribally controlled, with revenue flowing to the tribe and a genuine governmental purpose. An LLC you own and run doesn't meet that test regardless of where it was chartered. Courts applied exactly this analysis to the payday lending "rent-a-tribe" arrangements and stripped the immunity, then came the enforcement actions and restitution orders.

What these structures actually deliver is opacity. A registry that's slow to respond to subpoenas creates friction for a creditor trying to find assets. That's not the same thing as protection, and it ends the moment you're deposed under oath.

The Offshore Trust

An irrevocable trust in a jurisdiction like the Cook Islands or Nevis, with a licensed local trustee holding the assets. The mechanism is different in kind: a U.S. court can order you to bring assets back, but it can't order a foreign trustee to comply, and the local statutes are written to give U.S. judgments no automatic effect. Short statutes of limitation on fraudulent transfer claims and a high burden of proof do the rest. This has been tested in real litigation.

The Honest Comparison

A tribal LLC for personal asset protection isn't a weaker version of an offshore trust. The offshore trust is a real solution with a documented record.

Two red flags worth internalizing. Anyone promising you're judgment-proof is overselling. And anyone bundling asset protection with a tax elimination claim is selling something that is probably too good to be true.
